Terms of Service

1. Acceptance of Terms
By accessing or using the Conviction Inc. platform, website, APIs, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization. If you do not agree to these Terms, you must not access or use the Service.
These Terms constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Conviction Inc. (“Conviction,” “we,” “us,” or “our”), a Delaware corporation. We may update these Terms from time to time as described in Section 10 below.
2. Description of Service
Conviction provides an AI-powered agent platform designed for enterprise workflows. The Service includes, but is not limited to, agent orchestration, workflow automation, data processing, analytics dashboards, API access, and related documentation. The specific features available to you depend on your subscription plan and any applicable order form or statement of work.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will use commercially reasonable efforts to notify you in advance of any material changes that may affect your use of the Service.
3. Account Terms
You must provide accurate and complete registration information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
You must be at least 18 years of age to use the Service. Each account is intended for use by a single organization. You may not share account credentials across organizations or allow unauthorized third parties to access the Service through your account.
We reserve the right to suspend or terminate accounts that violate these Terms, pose a security risk, or remain inactive for an extended period, subject to reasonable notice where practicable.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right;
- Transmit malicious code, viruses, or any material designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or network;
- Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service;
- Use the Service to develop a competing product or service, or to reverse-engineer, decompile, or disassemble any aspect of the Service;
- Engage in any activity that imposes an unreasonable or disproportionately large load on the Service infrastructure;
- Use the Service to process, store, or transmit content that infringes on intellectual property rights or contains unlawful material.
We reserve the right to investigate and take appropriate action, including suspension or termination of access, against anyone who violates this section.
5. Intellectual Property
Conviction retains all right, title, and interest in and to the Service, including all related intellectual property rights. The Service is protected by copyright, trade secret, patent, and other intellectual property laws. Our grant of access to the Service does not constitute a transfer of any intellectual property rights.
You retain all rights to the data and content you submit to the Service (“Customer Data”). You grant Conviction a limited, non-exclusive license to process Customer Data solely as necessary to provide and improve the Service in accordance with our Privacy Policy.
Any feedback, suggestions, or ideas you provide regarding the Service may be used by Conviction without restriction or obligation to you.
6. Data Privacy & Security
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understand our Privacy Policy.
We implement industry-standard administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, alteration, disclosure, or destruction. These measures include encryption in transit and at rest, access controls, regular security audits, and incident response procedures.
For customers subject to specific regulatory requirements (e.g., HIPAA, GDPR, SOC 2), additional terms may apply as set forth in a separate data processing agreement or business associate agreement.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONVICTION, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE.
CONVICTION'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CONVICTION DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. CONVICTION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Termination
Either party may terminate these Terms at any time by providing written notice to the other party. Upon termination, your right to access and use the Service will cease immediately. You may request export of your Customer Data within thirty (30) days following termination; after that period, we may delete your data in accordance with our standard data retention policies.
We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe that you have violated these Terms, pose a security risk to the Service, or if required by law.
Sections that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitations of liability, indemnification, and governing law.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.
Any dispute arising under these Terms that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware.
10. Changes to Terms
We may revise these Terms from time to time. If we make material changes, we will provide notice through the Service or by sending you an email at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the changes.
If you do not agree to the revised Terms, you must stop using the Service before the changes take effect. It is your responsibility to review these Terms periodically for updates.
